Contributor Agreement
Additional terms governing your role as a data contributor on the Chipo platform.

1. Purpose
This Agreement supplements the Terms of Service and governs your specific rights and obligations as a contributor.
This Contributor Agreement ("Agreement") supplements and is incorporated into the Chipo Terms of Service. Capitalised terms used here but not defined have the meanings given in the Terms of Service.
This Agreement applies specifically to users who register as Contributors — individuals who create and submit original content (voice, video, image, text) in response to tasks on the Chipo platform, in exchange for earnings.
By accepting this Agreement (whether by clicking "I agree" during registration, by completing a task, or by receiving your first payout), you confirm that you have read, understood, and agreed to be bound by its terms in addition to the Terms of Service.
In the event of any conflict between this Agreement and the Terms of Service, this Agreement prevails with respect to contributor-specific matters.
2. Consent & Scope
We rely on your explicit consent under GDPR Art 6(1)(a) and 9(2)(a). The purpose of each task is disclosed before you begin. You may withdraw consent prospectively at any time.
Chipo processes your submitted content and associated personal data on the basis of your explicit informed consent under:
- Article 6(1)(a) GDPR — for ordinary personal data included in your submissions (e.g., linguistic content, metadata); and
- Article 9(2)(a) GDPR — for special category data, including voice and video where processed as biometric data for identification purposes.
Before you begin any task, the platform will clearly disclose:
- the type of data being collected (e.g., voice recording, facial video, text annotation);
- the purpose for which the data will be used (e.g., conversational AI training, voice synthesis research);
- whether the data will be classified as biometric data; and
- the enterprise use categories for which the data may be licensed.
Your consent is specific to each task type. Completing a task of type A does not imply consent to tasks of type B.
Prospective withdrawal: You may withdraw your consent at any time by closing your account or by contacting us at privacy@chipo.ai. Withdrawal affects future processing only. Data already incorporated into licensed datasets cannot be recalled from enterprise clients' systems, as it is processed under their own controller authority. See Section 8 for full details.
3. Rights You Grant
You grant Chipo a worldwide, perpetual, irrevocable, non-exclusive, royalty-free licence to use your submissions for AI training, including your name, voice, and likeness. You waive moral rights.
By completing a task and submitting content, you grant [COMPANY_LEGAL_NAME] a worldwide, perpetual, irrevocable, non-exclusive, royalty-free licence to:
- store, copy, process, and distribute the submitted content;
- package the content into datasets and sublicense those datasets to enterprise clients for AI model training, evaluation, and research;
- create derivative works from the content (annotations, transcriptions, augmented variants); and
- use your name, voice, likeness, and other personal characteristics captured in the content to the extent reasonably necessary for the licensed purposes.
This licence extends to all formats, media, and technologies now known or hereafter developed, without restriction on territory or medium.
You hereby irrevocably waive all moral rights (including rights of attribution, integrity, and disclosure) in the submitted content to the fullest extent permitted by applicable law. Where moral rights cannot be waived, you consent to any action that would otherwise infringe those rights.
4. Rights You Keep
You retain ownership of your original content. The licence above is not an assignment of copyright.
The licence you grant in Section 3 is a licence, not an assignment. You retain full ownership of the intellectual property rights in your original content.
This means:
- You may continue to use your own content for any purpose not restricted by the licence grant.
- Chipo may not claim ownership of your original works.
- The licence terminates automatically with respect to future use (though not past sublicences already granted to enterprise clients) if Chipo commits a material breach of this Agreement that remains uncured after 30 days' written notice.
For the avoidance of doubt, you do not retain any rights in datasets compiled by Chipo from multiple contributors' submissions, as those datasets are Chipo's independently created compilation works.
5. Quality Standards
All submissions must be original, unaltered, and human-created. No AI-generated content, third-party data without consent, minors, false metadata, or multiple accounts.
To maintain the integrity of Chipo's datasets and protect all contributors, every submission must meet the following standards:
- Original work: all content must be your own, original, human-created work. You must not submit content recorded, generated, or created by another person.
- No AI-generated content: content generated by AI tools (text-to-speech engines, voice cloning, image generators, language models) is strictly prohibited, regardless of how natural it appears.
- No altered content: you must not artificially enhance, edit, speed-alter, pitch-shift, noise-reduce, or otherwise post-process your submissions unless the task instructions expressly permit it.
- No third-party personal data without consent: you must not record or submit content that captures the voice, image, likeness, or personal data of any third party unless that person has given explicit, informed consent to their data being submitted to Chipo.
- No minors: you must not submit content that includes or depicts persons under the age of 18.
- Accurate metadata: all metadata you provide (language, dialect, accent, environment, age group) must be accurate and complete.
- One account only: you may hold only one contributor account. Operating multiple accounts is a serious breach that will result in permanent suspension and forfeiture of all earnings.
Chipo's review team checks submissions against these standards. Non-compliant submissions will be rejected and earnings reversed.
6. Earnings & Payment
Your rate is shown before each task. Earnings move PENDING → AVAILABLE → PAID via Stripe Connect. Chipo is not liable for bank delays.
Contributors earn money for each approved submission. The following payment terms apply:
- Rate transparency: the per-task rate or per-unit rate is displayed on the task card before you begin. By starting a task, you agree to the disclosed rate.
- PENDING: earnings are recorded as PENDING upon submission and remain PENDING during quality review (typically 3–7 business days). PENDING earnings are not yet yours.
- AVAILABLE: earnings become AVAILABLE after passing quality review. You may request a payout of AVAILABLE earnings to your connected payout account at any time, subject to the minimum payout threshold shown in your dashboard.
- PAID: once a payout is initiated, the status moves to PAID. Transfers are executed via Stripe Connect. Chipo is not responsible for delays caused by Stripe, intermediary banks, or your financial institution.
- Currency: payouts are made in the currency displayed in your dashboard (typically EUR or USD). Exchange rate risk for non-EUR/USD currencies is borne by the contributor.
- Tax obligations: you are solely responsible for reporting and paying any income tax, VAT, or other tax obligations arising from your earnings. Chipo will provide a transaction history upon request for tax reporting purposes.
7. Reversal & Dispute
Earnings can be reversed for policy violations. You have a 30-day window to dispute reversals, and we will respond within 14 business days.
Chipo may reverse PENDING or AVAILABLE earnings in the circumstances described in the Terms of Service, Section 7. In addition, reversals may occur if:
- a submission is found to violate the quality standards in Section 5 of this Agreement;
- evidence emerges that content was AI-generated or otherwise inauthentic; or
- the contributor account is found to involve duplicate registrations.
Dispute process:
- We will notify you by email of any reversal, including the reason, within 5 business days of the reversal decision.
- You have 30 days from the notification date to dispute the reversal by emailing legal@chipo.ai with supporting evidence.
- We will respond to your dispute within 14 business days of receipt.
- Our decision on the dispute is final, subject to your statutory rights.
8. Withdrawal of Consent & Account Deletion
Account deletion triggers a 90-day data deletion window. AVAILABLE earnings are processed; PENDING earnings are forfeited. Already-licensed data cannot be recalled.
You may close your Chipo account and withdraw your consent to future processing at any time by:
- using the account deletion option in your profile settings; or
- emailing privacy@chipo.ai.
The following applies upon account deletion:
- Data deletion: your personal identifiers (name, email, account details) will be deleted or anonymised within 90 days of the deletion request. Financial records are retained for 7 years as required by Dutch law.
- AVAILABLE earnings: any earnings in AVAILABLE status at the time of deletion will be processed and paid to your connected Stripe account within 14 business days.
- PENDING earnings: earnings in PENDING status at the time of deletion will be forfeited, as they cannot be approved or paid out after account closure.
- Already-licensed data: content already incorporated into datasets that have been licensed to enterprise clients cannot be recalled from those clients' systems. Enterprise clients have their own controller responsibilities under their Data Processing Agreements. The withdrawal of your consent affects Chipo's ability to use your data in new licences, not licences already granted.
9. Data Use Transparency
Your dashboard shows the category and consent record for each submission. We do not disclose the identity of specific enterprise clients to contributors.
Chipo is committed to transparency about how your submitted data is used. The following information is accessible via your contributor dashboard:
- the category of each submission (e.g., voice — conversational, voice — biometric, image — environmental);
- the consent record for each submission, including the date, purpose, and scope of consent you provided;
- the status of each submission (PENDING / APPROVED / REJECTED) and the corresponding earnings; and
- a summary of the enterprise use categories for which your data may be licensed (e.g., conversational AI, speech synthesis, medical transcription).
We do not disclose the identity of specific enterprise clients to contributors. This confidentiality is necessary to protect our commercial relationships and the competitive sensitivity of client projects.
